Affiliate Operating Agreement

By applying for, accessing, or participating in the Program, you agree to this Agreement, the Jinu Affiliates Commission Statement, the Jinu Terms of Service, the Privacy Policy, the Cookie Policy, the Community Guidelines, and other Jinu policies applicable to your use of Jinu (collectively, the "Program Policies"). If this Agreement conflicts with another Jinu policy concerning your participation in the Program, this Agreement controls with respect to the Program.

The Program allows approved Affiliates to promote Jinu and earn commissions when eligible new users are referred to Jinu through an Affiliate's unique referral link, referral code, or another attribution method approved by Jinu.

Jinu may provide Affiliates with referral links, codes, logos, graphics, promotional materials, data, or other materials for use in connection with the Program ("Program Materials").

A referral does not generate a commission merely because a person visits Jinu, creates an account, or uses Jinu. Commissions are earned only when a valid referred user generates Qualifying Revenue, as described in the Jinu Affiliates Commission Statement.

Jinu does not guarantee that any Affiliate will generate referrals, revenue, or commissions.

You must be at least 18 years old and legally capable of entering into a binding agreement to participate in the Program. If you participate on behalf of a company or other organization, you represent that you have authority to bind that organization to this Agreement.

Jinu may approve or reject any Affiliate application in its discretion.

You must provide accurate, complete, and current information in connection with the Program and must promptly provide information reasonably requested by Jinu to verify your identity, payment eligibility, tax status, traffic sources, promotional practices, or compliance with this Agreement.

You must comply with this Agreement and the Program Policies at all times to remain eligible to participate and receive commissions.

Jinu may provide you with a unique Affiliate Link or referral code. A person generally qualifies as your referred user only if the person:

• is a new Jinu user;
• reaches Jinu through your valid Affiliate Link or uses your valid referral code;
• creates a Jinu account within the applicable attribution window;
• has not previously maintained a Jinu account, unless Jinu expressly provides otherwise; and
• is not disqualified under this Agreement or the Program Policies.

Unless Jinu states otherwise, the referral attribution window is 30 days after a person uses a valid Affiliate Link.

If more than one Affiliate has referred the same person, Jinu's attribution systems will determine which Affiliate receives credit, generally based on the last valid Affiliate referral associated with that person before account creation.

Once a qualifying new user is attributed to an Affiliate at account creation, that attribution is ordinarily locked for the applicable 12-month commission period and will not change because the user later visits another Affiliate's link.

Jinu may correct attribution where it determines that an error, manipulation, fraud, duplicate account, or other invalid activity occurred.

Jinu's records will control for purposes of determining referral attribution and commission eligibility absent a demonstrated technical error.

Affiliates may earn commissions on Qualifying Revenue generated by valid referred users. Commission rates, eligible revenue, earning periods, exclusions, payment timing, and related rules are described in the Jinu Affiliates Commission Statement, which is incorporated into this Agreement.

Jinu may offer different or promotional commission rates to certain Affiliates or campaigns.

You have no right to commissions generated through self-referrals, fraudulent activity, attribution manipulation, prohibited promotion, or other activity that violates this Agreement or the Program Policies.

You are solely responsible for the websites, social-media accounts, newsletters, communities, advertisements, videos, applications, events, and other channels through which you promote Jinu.

You must promote Jinu truthfully and lawfully. You may not misrepresent Jinu, its products, services, pricing, policies, features, users, or your relationship with Jinu.

You may not represent yourself as an employee, agent, representative, spokesperson, or official partner of Jinu except to accurately state that you participate in the Jinu Affiliates Program. You may not make promises or commitments on behalf of Jinu.

You are responsible for ensuring that your promotions comply with applicable advertising, marketing, privacy, electronic-communications, consumer-protection, and other laws.

Prohibited promotion

The following are prohibited in connection with the Program. This list is not exhaustive, and Jinu may treat comparable conduct as a violation.

• Self-referral. Referring yourself, or creating or using an account you control, or arranging for someone to refer you, in order to generate commissions. Jinu's systems refuse to attribute an account to its own Affiliate, and any commission that results from a self-referral scheme is not payable.
• Attribution manipulation. Cookie stuffing, forced or automatic redirects, hidden frames or pixels, typosquatting, adware or browser extensions that inject links, or any other technique that records a referral the person did not choose to make.
• Artificial or incentivized signups. Bots, scripted signups, purchased traffic that is not genuine, duplicate or throwaway accounts, or paying or rewarding people to create accounts they do not intend to use.
• Unsolicited messaging. Spam email, bulk direct messages, comment spam, or any promotion that violates applicable electronic-communications law or the terms of the platform you are posting on.
• Misleading claims. Stating or implying earnings, endorsements, results, prices, or features that Jinu has not published, or presenting yourself as Jinu.
• Brand impersonation and paid-search abuse. Bidding on Jinu trademarks or close variants as paid-search keywords, using them in display URLs, or running any promotion likely to be mistaken for a Jinu channel. See section 7.
• Coupon, deal, and cashback abuse. Publishing discount codes Jinu has not issued, or claiming discounts that do not exist.
• Promotion alongside prohibited content. Promoting Jinu on a channel featuring adult content, hate speech, harassment, illegal goods or services, or content that violates the Community Guidelines.

Whenever you promote Jinu in circumstances where your potential commission would constitute a material connection, you must clearly and conspicuously disclose that relationship.

A disclosure may state, for example: "I may earn a commission if you join or purchase through my Jinu link."

The disclosure must be reasonably noticeable to the person viewing the promotion and must not be hidden only in a profile, terms page, collapsed description, or other location where it is likely to be missed.

The FTC currently requires material connections between advertisers and endorsers to be clearly and conspicuously disclosed, including in social-media and affiliate marketing.

Subject to this Agreement, Jinu grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license during your participation in the Program to use Program Materials solely to promote Jinu through the Program.

All ownership rights in the Jinu name, logo, trademarks, designs, Program Materials, and other intellectual property remain with Jinu or its licensors.

You may not modify Jinu trademarks or logos in a way that materially changes them, register them as part of a domain name or social-media handle, or use them in a manner likely to imply that your website, account, advertisement, or business is operated by Jinu.

This license automatically ends when your participation in the Program ends.

A person does not become your customer, client, employee, or property merely because you referred that person to Jinu.

Jinu controls its relationship with Jinu users, including its Services, policies, pricing, customer support, moderation, and account decisions. You have no authority to act for a Jinu user or for Jinu.

Nothing in this Agreement gives you access to private information concerning individual referred users except information Jinu expressly makes available through the Affiliate dashboard.

Either you or Jinu may end your participation in the Program at any time.

Jinu may immediately suspend or terminate your participation if Jinu reasonably believes that:

• you materially violated this Agreement or the Program Policies;
• you engaged in fraud, manipulation, deceptive activity, or unlawful conduct;
• your activity creates material legal, financial, security, safety, or reputational risk;
• you provided materially inaccurate or misleading information;
• your traffic or referrals appear artificial or otherwise invalid;
• you attempted to circumvent a prior suspension or termination; or
• Jinu discontinues the Program.

Upon termination, you must stop representing yourself as a Jinu Affiliate and stop using Program Materials except where otherwise permitted by Jinu.

Jinu may hold unpaid commissions for a reasonable period following suspension or termination to account for refunds, chargebacks, fraud investigations, attribution disputes, or other adjustments.

Legitimately earned commissions that became payable before termination remain subject to this Agreement and the Commission Statement. Commissions connected with fraud, manipulation, or other prohibited conduct are not payable and may be canceled or recovered to the extent permitted by law.

Unless Jinu expressly provides otherwise, referred users stop generating new Affiliate commissions after termination of your Program participation. The same applies for as long as your participation is suspended.

You are responsible for taxes arising from payments you receive through the Program.

Jinu may require tax documentation or other information before issuing payments and may withhold amounts where required by law. Jinu may hold payments until requested tax or payment information has been provided.

You and Jinu are independent contractors. Nothing in this Agreement creates an employment, agency, franchise, partnership, fiduciary, joint-venture, or sales-representative relationship.

You have no authority to bind Jinu or incur obligations on Jinu's behalf.

You are responsible for your own equipment, expenses, employees, contractors, insurance, taxes, and business activities.

Your participation in the Program is also subject to the applicable disclaimer, limitation-of-liability, indemnification, dispute-resolution, arbitration, class-action-waiver, governing-law, and venue provisions contained in the Jinu Terms of Service, which are incorporated into this Agreement.

For purposes of those provisions, disputes arising out of or relating to the Program or this Agreement will be treated as disputes arising out of or relating to Jinu's Services.

In summary, and without replacing what those provisions say: the Jinu Terms provide for an informal resolution period, followed generally by binding individual arbitration administered by JAMS, a class-action and class-arbitration waiver, Florida governing law, and a specified court venue for matters not subject to arbitration.

Thirty-day right to opt out of arbitration for the Program

The Jinu Terms give you thirty (30) days from your first acceptance of those Terms to opt out of arbitration. You may have accepted the Jinu Terms well before joining the Program, so this Agreement gives you a separate and independent opportunity. You may opt out of the arbitration agreement and the class-action waiver, as they apply to disputes arising out of or relating to the Program, by sending written notice to legal@jinu.app within thirty (30) days after you first accept this Agreement, including your name and the email address associated with your Jinu account.

Opting out will not affect your participation in the Program, your eligibility for commissions, or any other provision of this Agreement. If you opt out, Program disputes will be resolved in the courts identified in the Jinu Terms.

Notwithstanding anything else in this Agreement, nothing limits any right or liability that cannot lawfully be limited.

Jinu may monitor or review public Affiliate promotions and traffic associated with the Program for purposes including compliance, fraud prevention, attribution, security, and Program administration.

You may not assign or transfer this Agreement or your Affiliate account without Jinu's written consent. Jinu may assign this Agreement in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction.

Jinu may communicate with you by email, through your Jinu or Affiliate account, or by other reasonable electronic means.

Jinu's failure to enforce a provision does not waive its right to enforce that provision later.

If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.

This Agreement and the incorporated Program Policies constitute the entire agreement concerning your participation in the Program.

Jinu may modify this Agreement or the Program Policies from time to time.

Material changes will be communicated to Affiliates through email, the Affiliate dashboard, or another reasonable method before or when required by applicable law.

Your continued participation after a modification becomes effective constitutes acceptance of the revised terms. If you do not agree to a modification, you must stop participating in the Program.

A change to commission rates or earning periods does not reprice referrals you have already been credited with. Each referral is paid under the commission terms recorded against it when it was attributed, as described in the Commission Statement.
